The second way, is for us to reverse merge your company into an SEC already listed shell company.
A Shell company is a company registered with the Securities and Exchange commission, it has only been registered, there has not been any monetary or public raise because a shell company does not have a business plan or any business activity. A shell company is a first step in the SEC process and is formed by filing, a single form, a form 10.
The form 10 company makes the shell fully reporting to the SEC, generally we form these companies on the bulletin board, (OTCBB) an over the counter exchange, for first time or startup companies. The BB does not charge a listing fee as other exchanges do. But, we can file, or move this same shell to any exchange the client qualifies to be listed on.
Listing requirements for other exchanges are based on the number of shareholders, trading price, and volume or market cap rate.
What is a market cap rate?
Market cap—or market capitalization—refers to the total value of a company’s outstanding shares of stock. It is calculated by multiplying the price of a stock by its total number of outstanding shares. For example, a company with 20 million shares selling at $1 a share would have a market cap of $20 million dollars. Whereas the same company’s shares selling at $0.10 would have a cap rate of $2,000,000
When a client requests us to take them public, if, we use this already filed shell company, you can be a public company in about two weeks. And, within 90 days there-after You should receive your trading symbol
But within the original two weeks, the time to place you in control of the shell company, we will be changing the shell company name to one of your choice and turning the company over to you and your board of directors. After you are in control of the company you could be starting to raise the money you need. Your company can and will be found by going to SEC.gov website
We also help you raise the money by making sure you have the introductions you need to the investment banker community, as well as brokerage houses.
